Service Agreement

This agreement is between Weird Business Consulting (WBC), operated by Kayla Gagnier ("WBC," "we," "us"), and the client named at checkout ("Client," "you"). By completing a purchase through our Stripe checkout, you agree to the terms below.

1. Services

WBC offers custom website builds and ongoing care plan services for small businesses. Available options at the time of this agreement:

2. Timeline

Work begins after payment is received and all required client content (logo, photos, copy, business information) has been provided. Standard build timeline is 5–10 business days from receipt of complete materials. Timeline may extend if client materials are delayed or incomplete.

3. Payment Terms

Full Package

• $777 due at checkout — covers the build and first full month of care
• $111/month subscription committed at checkout with a 30-day free trial; first automatic charge occurs on day 30
• Payment method is collected and held securely through Stripe from the time of purchase

Build Only

• $777 due at checkout, one-time, no recurring subscription
• $222 content edit add-on available at checkout (bundled as $999) or as a standalone purchase later

Care Plan Standalone

• $111/month for Build Only clients who upgrade to care plan at a later date

All payments are processed securely through Stripe. The build fee is non-refundable once work has begun. No refunds are issued for partial billing periods on the care plan.

4. What's Included

The website build includes design, development, and deployment of one website. The care plan covers ongoing updates and hosting for that site as described in Section 1. Any work outside the scope defined in Section 6 is quoted separately at $75/hour.

5. Client Responsibilities

Client agrees to:

• Provide all required content (logo, photos, copy, business information) within 5 business days of purchase
• Review and approve work within 5 business days of delivery; silence past that window is treated as approval
• Maintain a valid Stripe payment method for care plan subscribers
• Submit edit requests as a single batch per session, not as multiple separate messages

6. Revisions & Scope

Build revisions (pre-launch)

The build fee includes two rounds of revisions before launch. A revision round is one batch of change requests submitted together. Build revisions are separate from the monthly care plan edit sessions that begin in month 2.

Care plan edit sessions (month 2+)

The care plan includes 2 edit sessions per month. An edit session is one batch of change requests submitted together in a single message or email. All requests in the batch are turned around within 3 business days (72 hours).

What counts as an edit session:

• Text updates (copy, hours, pricing, bios, service descriptions)
• Photo swaps (client provides new images)
• Adding or removing content within an existing page
• New section added to an existing page
• Seasonal promo, event banner, or announcement block

Not included in an edit session — quoted and billed at $75/hour:

• Building a brand new page from scratch
• New functionality (booking form, gallery, map embed, etc.)
• Full design overhaul (colors, fonts, layout changes)
• Any single request estimated at more than 2 hours of work

Edit sessions do not roll over. Unused sessions expire at the end of each billing month.

7. Ownership & Rights

Upon receipt of full payment, the client owns the website content and final design files. WBC retains the right to display the completed work in its portfolio. The client may not resell or redistribute WBC's proprietary code, templates, or system architecture.

8. Hosting & Maintenance

For Full Package and care plan clients, WBC manages Netlify hosting for the duration of the active care plan subscription. For Build Only clients not on a care plan, the completed site files are handed over for independent hosting. WBC is not responsible for hosting performance, uptime, or third-party hosting issues after handover.

9. Security

WBC handles all credentials and access with care. Credentials, API keys, and sensitive business information are stored securely and not shared with third parties. Clients are responsible for maintaining secure access to their own accounts, platforms, and login credentials. WBC will not be held liable for security breaches originating from the client's own systems or third-party platforms.

10. Confidentiality

Both parties agree to keep confidential any proprietary business information, credentials, pricing, unreleased content, or non-public details shared during this engagement. This obligation survives termination of the agreement.

11. Limitation of Liability

WBC's total liability under this agreement is limited to the fees paid in the current billing period. WBC is not liable for indirect, incidental, or consequential damages, including but not limited to lost revenue, lost data, or business interruption.

12. Termination

Either party may cancel the monthly care plan subscription with 30 days written notice sent to weirdbusinessconsulting@gmail.com. The website build fee is non-refundable once work has begun. Upon termination, all completed site files are delivered to the client within 5 business days.

13. Governing Agreement

This agreement constitutes the full understanding between WBC and the client for website services. It supersedes any prior verbal or written discussions. Disputes will first be addressed through direct communication. This agreement is governed by the laws of the State of Idaho.
